You need to clean up your old system first.
You have two versions of freetype currently installed. Yum (and hense the
installer) doesn't like this.

How to clean it up.
Do an
   rpm -qa | grep freetype
You'll probrubly see something like
   freetype-2.1.9-6.el4
   freetype-utils-2.1.9-6.el4
   freetype-2.1.9-4.el4
   freetype-utils-2.1.9-4.el4

Get rid of the old version, you do that by giving it the full name and version,
like so
   rpm -e freetype-2.1.9-4.el4 freetype-utils-2.1.9-4.el4

Then try the upgrade and see what you get.
Or, even better, make sure you do a "yum update" first, and don't get any errors.
